Q What do Council Members do?

"A JAPAN MARKET NAVI arranges different types of interactions between Council Members and its clients, ranging from quick inquiries to comprehensive due diligence efforts. Many of these interactions are telephone consultations. Other interactions include educational events (such as formal seminars, collaborative discussions, site tours and private in-office one-on-ones); written products, (including surveys, single-author reports, collaborative multi-author reports, and market studies) and various forms of in-depth and ongoing consulting. JMN News is an innovative web service through which Council Members publish unique perspectives on news they feel is important within their industry or profession in Japan. "

Q How does it work?

"A JAPAN MAKET NAVI provides a platform for clients to interact with Council Members. Based upon information that Council Members provide about themselves during the application process and on an on-going basis, JAPAN MARKET NAVI identifies Council Members who are suited to projects requested by clients. Those Council Members are then sent an email inviting them to the project and requesting additional information. At that point, Council Members vet the projects for their suitability and potential conflicts. Clients may contact a subset of the available Council Members. For consultations, the client and the Council Member typically schedule and conduct the consultation over the phone without JMNfs further involvement. For surveys, the Council Member responses are blinded but Council Members can opt-in for follow-up phone consultations with the client, if the client so requests. In all projects, Council Members are required to affirmatively accept invitations to participate and are given a chance to decline the project. "

Q Can clients call Council Members directly to invite them to projects?

"A No. Council Members are paid only for projects that are pre-arranged through our platform. Follow-up communications with any of our clients are separate projects, and you must separately be invited by JMN and accept each project before it begins. "

Q How am I paid?

"A When you apply to the Councils, you are asked to enter what you feel is a fair hourly rate for your time that would make it worthwhile for you to participate in appropriate interactions with our clients. Council Members should consider their position, experience, scarcity of others with similar knowledge, etc. If you do not know what rate to choose, a JMN Council Manager can help guide you. Also, JMN has bi-annual review periods if youfd like to request an honorarium change once your initial rate is set. After completing a project, Council Members invoice JAPAN MARKET NAVI. Payment is prompt- usually within seven to ten days, once verified. Payments for surveys and in-person meetings are sent after those projects are completed without invoicing. JAPAN MARKET NAVI makes payments in numerous different currencies. "

Q What are the Terms & Conditions?

"A The Terms and Conditions of Council Membership (T&C) is a contract with JAPAN MARKET NAVI that a Council Member must accept before participating in any project. You will be asked to review and accept the T&C at the end of the application process. To accept, you must either enter your initials on the screen when prompted to do so. The form of acceptance is legally binding. The T&C sets forth the terms for your participation in the Councils, including the obligation not to disclose confidential information. You should review the Terms and Conditions closely before accepting it. The T&C is updated annually, and you will be required to re-accept the T & C as updated and revised once per year to continue to participate in consulting projects with JMN clients. "

Q What is expected of me as a Council Member?

"A Council Members must comply with the Terms and Conditions and other policies that JMN may adopt governing participation in the Councils. You must make sure you vet each project invitation and that you honor the Terms and Conditions and any other obligations you have as you participate in projects with JMN clients. Seek consents from others as necessary, and decline projects or terminate projects if you are ever uncertain about your ability to participate in accordance with these obligations. JAPAN MARKET NAVI expects Council Members to keep all scheduled appointments with clients. Council Members are required to update their biographical information regularly and every time their employment status changes. "

Q What topics will I be expected to discuss during a project?

"A JAPAN MARKET NAVI clients are typically interested in either broad discussions about a general industry or more detailed information about a particular product, service or trend. JAPAN MARKET NAVI clients do not want confidential information, and such disclosures can seriously harm our clients. Under the securities laws, for example, any disclosure of confidential information may require the client to abandon a previously planned-upon investment. Clients are informed that Council Members are also not permitted to discuss their own employers. You should not accept a project unless you are comfortable discussing that topic. "

Q How do I know whether a topic is confidential?

"A If you are in doubt, do not discuss the topic. You may be subject to one or more confidentiality agreements that prevent you from discussing certain topics. Also, certain kinds of information are likely confidential in nature, including but not limited to information about earnings projections and other forecasts, corporate strategies, unpublished clinical trial data, regulatory approval for a drug, new product developments and inventions, awards of large contracts, significant litigation, proposed mergers or acquisitions or any other significant but undisclosed negative or positive news relevant to the company. "

Q What do I do if a confidential topic comes up during a project?

"A Donft discuss that topic. If ever you feel that you cannot continue the discussion without revealing confidential information or otherwise violating an obligation to an employer or third party, you should terminate the discussion. In such situations, JAPAN MARKET NAVI will pay you for the time you set aside for that consultation. "

Q Can I tell people about the projects I have participated in?

"A No. Council Members are required to keep all projects confidential, including the existence of the project, the identity of the client and the subject matter discussed. "

Q I'm busy. How am I supposed to find the time for this?

"A JAPAN MARKET NAVI respects the busy schedules of its Council Members. Council Members will only be contacted when their background matches a JMN client request, and Council Members may accept or decline an invitation to consult for any or no reason. There is never an obligation to consult and no minimum time commitment is required. "

Q How long is the typical project?

A Telephone consultations generally last about a half hour. Filling out a survey generally takes less than half an hour but the expected time allocation will be provided with each survey. Other types of projects may take more time.

Q How often will I be invited to projects?

A That depends in large part upon the requests made by our clients. JAPAN MARKET NAVI makes no guarantees with respect to the number of projects that you will be invited to or participate in.

Q I am unsure if Ifm allowed to work with you. What should I do?

"A Some companies have policies concerning participation in outside consulting activities by their employees, and you should confirm with your employer whether you are subject to a policy. Some policies forbid outside consulting, while others are less restrictive. You must comply with any such restrictions, and it is a precondition of Council Membership that you obtain any necessary consent or approvals to participate in the Councils. To help our Council Members comply with their obligations, JAPAN MARKET NAVI has created an Institutional Registry through which companies may submit guidelines for their employeesf participation in the Councils. JAPAN MARKET NAVI implements all guidelines submitted by an authorized company representative for that companyfs current employees. You are required to update your biographical information every time your employment status changes. "

Q Is my personal information and membership in the Councils kept confidential?

"A JMN will be discrete with your information. If you accept an invitation to a project, information about you may be shared with the client requesting that project. JAPAN MARKET NAVI may discuss your participation or proposed participation in a JMN project with third parties, including your employer, for the purpose of confirming any consents or approvals that may be required. For more information about our privacy policies for Council Members, please see Council Member Privacy Policy. JMN may disclose information about you to third parties that may wish to use your services. "

Q What are JMN Member Programs?

"A JAPAN MARKET NAVI created Member Programs to enable Council Members to engage in ongoing or in-depth projects with our clients. Only Council Members in Member Programs are permitted to participate in more than three telephone consultations a year with a client or to prepare any written reports. Additionally, participation in JMN News and JMN Institute are exclusive to Council Members in JMN Member Programs. To meet program requirements, Council Members who are employees of companies must obtain written consent of their employers. "

Q What is JMN News?

"A JMN News is an innovative web service through which Council Members publish unique perspectives on news they feel is important within their industry or profession. Members can generate new revenue opportunities, collaborate with peers and work with JMN clients. Participation in JMN News is exclusive to Council Members in JMN Member Programs. "

Q What is JMN Institute?

"A JMN Institute is home to JAPAN MARKET NAVI's renowned Education Seminars. Clients are able to propose both Seminar topics and locations. JMN will host Education Seminars on any topic anywhere around the world to suit our clientsf needs. All Seminars are formal education sessions, employing detailed presentations and followed by interactive Q&A discussions. Meetings typically last two hours in length. Participation in JMNi is exclusive to Council Members in JMN Member Programs. "

Q Can I work with other organizations if I become a Council Member?

"A Yes. Council Members are permitted to join other associations or organizations. JAPAN MARKET NAVI does enter into exclusive arrangements with some of its top Council Members, and if you are interested in such an arrangement, you should contact JMN. "

Q If I had an existing relationship with a client, can I continue to work with them outside of the JAPAN MARKET NAVI Councils?

A Yes. We ask only that any consultations arranged between you and the client continue through the JAPAN MARKET NAVI Councils.

Q If I work on a project for one person at a large company, does that mean I cannot work with anyone else at that company outside of the JAPAN MARKET NAVI Councils?

"A No. We understand that some of the clientfs Council Members consult with are large entities and that they may contact Council Members independently of the JAPAN MARKET NAVI Councils. However, we ask that the relationships that were established, directly or indirectly, between you and these firms by an introduction by JMN continue through us. "

Q What if I am not currently living in JAPAN?

"A If you live outside JAPAN, you can still be a Council Member. Council Members and clients are located throughout the world. Projects occur across the globe and can be scheduled at convenient times for Council Members and clients. "

Q What if I am not fluent in English?

"A Individuals can still join the JAPAN MARKET NAVI Councils if they are not fluent in English, as long as they have a working knowledge of the English language. JAPAN MARKET NAVI may also provide translations of the Terms and Conditions of Council Membership at your request. It is your responsibility to understand all parts of the Terms and Conditions. JAPAN MARKET NAVI may also provide translation services if a Council Member is not comfortable participating in telephone consultations in English. "
